Project “Legal Aspects of Corporate Acquisitions and Knowledge Driven Corporate Restructuring“, Principal researcher Professor Edita Čulinović-Herc, includes a total of 10 researchers, all of whom are members of the Faculty of Law in Rijeka. Along with the project head these are: Professor Nataša Žunić Kovačević, Ph.D., Professor Dionis Jurić, Ph.D., doc. Ph. D., Assistant Professor Ivana Kunda, Ph.D., Assistant Professor Vlatka Butorac Malnar, Ph.D., Antonija Zubović, Ph.D., Mihaela Braut Filipović, Ph.D., and doctoral candidates Stjepan Gadžo, Danijela Vrbljanac and Nikolina Grković. The project analyses various legal aspects of corporate acquisitions (mergers, acquisitions, takeovers), which occur in the post-accession period and examines the legal prerequisites for effective restructuring of existing companies based on knowledge and intellectual property. It analyses the aspects of taxation law, aspects of capital markets and corporate law, as well as aspects related to intellectual property and market competition. The study combines the analysis of regulations, doctrine and case law with empirical research, based on which suggestions of de lege ferenda should occur in all the areas, as part of a single regulatory package with the aim of increasing the level of legal protection of all involved stakeholders.
